1. Acceptance of Terms

By accessing or using the ToolBelt mobile application, website, and related services (collectively, the “Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, do not use the Service.

ToolBelt Tools LLC (“ToolBelt Tools,” “we,” “our,” or “us”), doing business as ToolBelt, reserves the right to modify these Terms at any time. We will notify you of material changes via the app or email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

Third-Party Integrations

ToolBelt offers optional integrations with third-party services, including Google Analytics, Stripe, Plaid, Twilio, Postmark, Anthropic, and others. When you connect a third-party service, you authorize ToolBelt to access data from that service on your behalf, subject to that service’s own terms of service and privacy policy. You are responsible for ensuring your use of those services complies with their terms. You may disconnect any optional integration at any time from within the ToolBelt app.

The Google Analytics integration uses the read-only OAuth scope (https://www.googleapis.com/auth/analytics.readonly) and complies with the Google API Services User Data Policy, including the Limited Use requirements. See our Privacy Policy for full details on how we handle Google account data.

4. SMS Messaging Terms

This section governs the use of our SMS text messaging services, including our AI-powered appointment scheduling assistant.

4.1 Program Description

ToolBelt provides an AI-powered SMS booking assistant that allows customers to schedule, reschedule, and cancel appointments by texting a business phone number. Messages are generated by artificial intelligence and processed through automated systems.

4.2 Consent to Receive Messages

ToolBelt obtains express written consent from each consumer through one of three documented, auditable opt-in flows before any SMS scheduling message is sent. The applicable flow depends on how the consumer entered the system:

This is a recurring messaging program. Message frequency varies based on appointment activity (typically 1–3 messages per appointment booked). Consent is not a condition of any purchase.

Data handling: We do not share, sell, lease, or rent consumer mobile numbers or message content to third parties, affiliates, or lead generators for marketing purposes. Numbers are used solely to facilitate appointment scheduling for the business that collected the consent.

4.3 Message and Data Rates

Message and data rates may apply. ToolBelt does not charge for sending or receiving SMS messages, but your wireless carrier may charge standard messaging and data fees. Contact your carrier for details about your plan.

4.4 Opt-Out Instructions

You can opt out of receiving SMS messages at any time by texting any of the following keywords:

4.7 AI Disclosure

Messages sent by our scheduling assistant are generated by artificial intelligence. The AI assistant will identify itself as an AI in its first message to you. While we strive for accuracy, AI-generated responses may occasionally contain errors. Please verify all appointment details.

4.8 Supported Carriers

Our SMS service is available on all major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages.

5. Payment Terms

Business owners who use ToolBelt’s payment processing features agree to:

ToolBelt uses third-party payment processors (including Stripe and Plaid) to handle financial transactions. You agree to comply with their respective terms of service in addition to these Terms.

5.3 Refunds

Refund policies are determined by each individual business using ToolBelt. ToolBelt is not responsible for refund disputes between businesses and their customers.

5.4 Platform Fees

ToolBelt charges a platform fee of 1% per transaction on payments processed through the Service, including invoices and in-app card payments. This platform fee is in addition to the standard payment-processing fees charged by our payment provider (Stripe), which are the responsibility of the business. The platform fee is collected automatically at the time of each successful payment.

Passing fees to your customers. When creating an invoice, a business may choose to pass the 1% platform fee to its customer as a separate, clearly labeled line item (“Processing fee”). If a business enables this option, the business is solely responsible for ensuring that the surcharge complies with all applicable laws, card-network rules, and disclosure requirements in its jurisdiction. Some U.S. states restrict or prohibit customer surcharges, and card networks impose their own rules on surcharging. ToolBelt makes this option available but does not provide legal advice regarding its use, and the business agrees to indemnify ToolBelt for any claims arising from its decision to pass fees to its customers.

5.5 AI Texting Subscription

ToolBelt’s AI Texting service (a dedicated business phone number with an AI-powered SMS scheduling assistant) is offered as a monthly subscription billed through Stripe, plus a one-time setup fee for new numbers. By subscribing, you authorize ToolBelt to charge your payment method the applicable monthly amount, automatically renewing each month until canceled.

You may cancel the AI Texting subscription at any time directly within the app (AI Texting screen → “Deactivate AI Texting”). Cancellation is as simple as sign-up and requires no call or email. Cancellation takes effect immediately: your monthly subscription is canceled, your assigned phone number is released, and no partial-month refunds are provided. Once a phone number is released, it cannot be reclaimed, and any future number will be newly assigned. Prices are stated in the app at the time of purchase and may change on a prospective basis with notice.

All content, features, and functionality of the Service (including software, text, graphics, logos, and design) are owned by ToolBelt and are protected by United States and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. This license does not include the right to modify, distribute, or create derivative works from any part of the Service.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information, including SMS data. Our Privacy Policy is incorporated into these Terms by reference.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

You acknowledge that AI-generated content may occasionally produce incorrect or unexpected responses. Business owners are responsible for monitoring their SMS conversations and escalating issues when appropriate.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLBELT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO TOOLBELT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless ToolBelt and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or related to:

13. Dispute Resolution

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of New Jersey. Each party shall bear its own costs.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, consolidated action, or representative action.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of New Jersey, without regard to its conflict of law provisions.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and ToolBelt regarding the use of the Service.
